This Agreement governs your academic use of IRIS software and its licensing service. It is between you personally and Saccadic LLC (“Saccadic”). You accept it by selecting “I agree” when creating your account or accepting an updated version.
You may use IRIS as a student, faculty member, research staff member, or research trainee at an accredited educational institution, or as a researcher at a nonprofit research organization.
Permitted uses include teaching, study, coursework, student projects, theses, dissertations, and independent academic research. Classroom material and research may remain unpublished.
Paid research performed for a third party, commercial consulting, product development for sale, and other commercial work require an IRIS Commercial License Agreement.
You must provide accurate eligibility information and reconfirm it when reasonably requested. If your eligibility or use changes, notify Saccadic within ten days and obtain the appropriate license before continuing that use.
Saccadic grants you a personal, nonexclusive license to install and use IRIS for the academic purposes described above while this Agreement remains in effect. You may make copies reasonably needed for that use, keeping the proprietary notices intact.
Keep your account and Run Key confidential. Each person using IRIS must have their own account and Run Key. Report a compromised key promptly to [email protected].
You may use IRIS on shared institutional computers and clusters under your own account. An institution-wide deployment or shared service requires a separate institutional agreement.
A “Run” is one execution of a training or fine-tuning job observed by IRIS.
Each Run consumes Credits according to the published rate schedule and per-Run minimum. The same schedule applies to academic and commercial accounts. The rate depends only on the whole model’s total parameter count, including frozen parameters and portions outside IRIS’s observation. For distributed runs, it includes the model’s parameters across all participating processes, shards, and devices.
Saccadic will maintain or reduce the published numeric Credit rate for each existing pricing tier. Changes to tier boundaries, minimum charges, or other rules that increase your charges require notice and your acceptance before applying to your future Runs.
Academic access is charged solely through metered Runs. You may purchase Credits or request an academic grant.
Purchased Credits are purchased by and held for you, under the terms presented at checkout, including the quantity, purchase price, taxes, and payment terms. Purchased Credits expire twelve months after purchase, with expiry disclosed before payment and applied to the extent permitted by law. Applicable statutory refund and value-preservation rights apply. Other purchases are final.
If a payment fails or is reversed, Saccadic may remove the corresponding unused Credits after notice. Payment remains due for Credits already consumed.
Saccadic may grant Credits to you for use through your account, subject to the grant terms. Saccadic decides each grant’s amount and conditions individually. Granted Credits may be used for the approved academic work and expire according to the grant terms. Future grants remain at Saccadic’s discretion.
Credits are consumed earliest-expiry-first and oldest-first when expiry dates match.
Each Run is charged once, regardless of its duration.
At startup, IRIS reserves the Run’s price against your available Credits. The charge occurs at the earlier of:
• The first diagnostic frame recorded after five minutes of training.
• A clean end to the Run after at least one diagnostic frame has been recorded.
A Run that records zero diagnostic frames releases its reservation without a charge.
Resuming an interrupted Run along the same continuing line of training carries the existing charge. Each additional branch is a separate Run. A resumed job with a different total parameter count is charged as a new Run at the applicable price.
Continuing a Run requires its saved IRIS licensing records. Restarting after those records are lost or corrupted is a new Run. Saccadic may provide replacement Credits for accidental loss at its discretion.
Dry-run mode consumes zero Credits. Activating it after a charge leaves that charge in place.
You retain your rights in your models, training data, code, research results, and IRIS output files.
You may use IRIS’s documented interfaces to create your own signals, formulas, adapters, integrations, visualizations, and analyses. You retain your rights in those creations.
You may analyze IRIS outputs, test its accuracy and limitations, compare it with other tools, and publish your findings - including critical findings - at your discretion. Published evaluations must disclose their funding and relevant commercial affiliations.

Citation is required for publications arising from work supported by granted Credits. Failure to cite may affect eligibility for future grants.
Saccadic retains ownership of IRIS, its licensing service, and its proprietary technology.
“Proprietary Methods” means the nonpublic implementation details of IRIS’s diagnostic and analytical methods, including nonpublic combinations of otherwise public elements. Information lawfully available to the public remains available for your use. IRIS’s observable behavior and your measurements of it may be studied and published under Section 4.
You must keep any Proprietary Methods you obtain confidential and protect them with reasonable care.
You must not:
• Decompile, disassemble, or otherwise attempt to recover IRIS’s nonpublic code or implementation.
• Modify or redistribute IRIS itself, or sell, rent, sublicense, or provide it as a service to others.
• Analyze outputs or design experiments primarily to reconstruct the Proprietary Methods.
• Use the Proprietary Methods to create or help create a reproduction of Saccadic’s implementation.
• Bypass IRIS’s technical protections.
• Remove proprietary notices or alter licensing provenance in IRIS output files.
Your independent research, documented extensions, and scientific evaluation remain permitted under Section 4. You may publish exported data and figures in your own format and visual style.
Rights that applicable law makes mandatory remain available, including qualifying observation, testing, and interoperability activities. You may request additional interfaces or information at [email protected]; Saccadic will consider providing them at no charge for academic use.
Misuse or disclosure of the Proprietary Methods would cause Saccadic harm that money damages cannot adequately repair. Saccadic may therefore seek a court order to stop it, in addition to any other remedy.
You must use Saccadic’s licensing service and report the whole model’s parameter count accurately.
You must not knowingly bypass licensing checks, falsify licensing records, use another person’s Run Key, substitute a licensing server, or manipulate model reporting or Run execution to evade charges.
Ordinary institutional proxies, security gateways, firewalls, and shared computing infrastructure are permitted.
To license and meter Runs, the IRIS client sends the licensing service: your Run Key; a random session identifier; the model’s total parameter count; the IRIS software version; an optional machine fingerprint; the time of the first recorded diagnostic frame; the number of diagnostic frames delivered and a cryptographic hash of the last recorded frame, never its content; and, when a Run resumes or ends before recording, its signed licensing receipt and lease or a cancellation notice. The licensing service also records the IP address used for agreement acceptances and account activity, and keeps standard access logs. IRIS never sends model names, run names, file or directory names, training data, model weights, source code, or diagnostic results.
Your training data, model weights, source code, and scientific outputs remain on your systems unless you choose to send them to Saccadic.
For material you voluntarily submit, you authorize Saccadic to store, copy, and analyze it solely for the purpose of your submission. Saccadic will protect it as confidential and delete it at your request.
Personal information is handled under the IRIS Privacy Notice, which forms part of this Agreement.
IRIS requires the licensing service to authorize Runs. During a startup outage, IRIS retries and begins recording diagnostics when authorization succeeds. During an outage affecting an authorized Run, recording continues for the grace period applicable to that IRIS version. When that grace period expires, diagnostic recording stops; training continues and previously recorded outputs remain available. This applies to Runs already charged.
Training continues independently. Recorded outputs remain yours to retain and use.
If an outage of Saccadic’s licensing service stops a charged Run from recording, or causes Credits to be consumed without the Run recording, Saccadic will provide you replacement Credits for that Run. This includes Runs charged before the outage began. To request replacement Credits, contact [email protected].
Saccadic provides the licensing service as available and may modify, suspend, or discontinue it. Support, maintenance, and custom development are provided at Saccadic’s discretion.
This Agreement begins when you accept it. You may end it by stopping use, deleting your IRIS software copies, and closing your account.
Saccadic may suspend or terminate access immediately for commercial misuse, disclosure of Proprietary Methods, or violations of Sections 5 or 6. For other reasons, Saccadic will give reasonable notice.
When the Agreement ends, you must stop using IRIS and delete its software copies. You may retain and use your outputs, extensions, and research.
Ownership, confidentiality, restrictions on misuse of Proprietary Methods, liability provisions, and accrued payment obligations continue after termination.
IRIS is provided “as is” and “as available.” You are responsible for validating its outputs and the conclusions you draw from them.
IRIS reports measurements of a training run. It does not diagnose models or recommend actions. Interpreting its reports, and any decision based on them, is your responsibility.
To the extent permitted by law, Saccadic disclaims express, implied, and statutory warranties, including accuracy, merchantability, fitness for a particular purpose, and noninfringement.
To the extent permitted by law, Saccadic’s liability excludes indirect and consequential damages, including loss of data, research results, compute time, profits, or goodwill. Its total liability under this Agreement is limited to the greater of US$100 or the amount you paid Saccadic during the twelve months preceding the event giving rise to the claim.
Mandatory statutory rights and liabilities remain applicable.
You must comply with applicable laws, including export controls and sanctions.
Arizona law governs this Agreement, subject to mandatory applicable law. Disputes are subject to the state and federal courts in Maricopa County, Arizona. Either party may seek urgent protection of intellectual property or confidential information in another court with jurisdiction.
Saccadic retains each accepted version of this Agreement. Material changes require your acceptance before further licensed Runs. Each Run remains governed by the version applicable when it occurred.
This Agreement, the IRIS Privacy Notice, and any grant terms you accept form the complete agreement on this subject. If a provision is unenforceable, the remaining provisions continue in effect.
